Where Veeva Systems does well

  • Termination for convenience: customers can exit the entire agreement with 90 days' written notice — unusually generous for enterprise SaaS.
  • Customer retains full ownership of Customer Data; Veeva's anonymized 'System Data' explicitly excludes patient/clinical-trial-subject data, customer custom fields, and file contents.
  • The Data Processing Addendum requires permanent deletion of personal data within 120 days of termination (including production and sandboxes).
  • Veeva states it does not sell application users' personal information or share it with third parties for advertising purposes, and does not use automated decision-making with legal or similarly significant effects.
  • Veeva warrants it 'will not materially decrease the overall functionality of the Software during the Term' and that service-level changes 'will never degrade the standard of service.'

The one-year contract silently restarts every year.

The fine print

7 clauses and findings from the draft archive, dated 1 October 2026. The plain English comes first; the small print is the company's own words. None of these has been checked yet.

  1. The one-year contract silently restarts every year. Miss the 90-day advance written cancellation window and the customer is locked into another full year. Order Forms auto-renew the same way (30-day notice).

At the expiration of the Initial Term or any Renewal Term, this Agreement will automatically renew for subsequent one (1) year periods (each a 'Renewal Term') unless one party provides the other party with written notice of its intent to amend or not renew this Agreement at least ninety (90) days prior to the end of the then-current Term.

  2. No refunds, ever — not even when the customer terminates for convenience. The customer also cannot shrink its seat count mid-term, so they keep paying for unused licenses until the term ends.

Except as otherwise specified in an Order Form or this Agreement, fees are based on services purchased and not actual usage, payment obligations set forth in an Order Form are noncancelable, fees paid are nonrefundable, and the number of subscriptions purchased cannot be decreased during the relevant Subscription Term. ... Veeva has no obligation to refund to Customer any amounts prepaid for Software, subscriptions, or Professional Services for the unexpired remainder of a Subscription Term after the Effective Date of Termination.

  3. No court, no jury. After a VP-level negotiation and a mandatory 8-hour mediation, all disputes go to private binding arbitration in California under AAA rules. (No explicit class-action waiver was found, which is unusual for a forced-arbitration clause.)

Any dispute that the parties fail to resolve by negotiation or mediation shall be resolved by binding arbitration in the State of California before a sole impartial arbitrator. The arbitration shall be conducted in accordance with the Commercial Rules of the American Arbitration Association ('AAA'), and shall be governed by the Federal Arbitration Act, 9 U.S. Code 1 et seq.

  4. The website's Terms of Service can be rewritten at any time without telling visitors — just by posting a new version. For the enterprise contract, Veeva 'reserves the right to update the terms and conditions of this Agreement at any time,' with changes taking effect on the first new Order Form.

Veeva may, without notice to you, at any time revise these Terms of Use and any other information contained in this Web Site by updating this posting.

  5. Veeva runs a data-brokerage business on the side: it collects doctors' professional profiles and sells 1,500+ pharma customers access to send them promotional materials, and it builds ad-targeting 'Audience Segments' so health brands can serve tailored ads to consumers across browsers, phones and TVs. Ostro (its patient-engagement arm) also discloses user information to customers and third parties 'for which we receive financial and/or other compensation.'

As part of our data products, we collect personal information about healthcare organizations, healthcare providers, and other related industry professionals and stakeholders (collectively, 'Healthcare Professionals') to facilitate our life sciences customers' communication with them. This enables our life sciences customers to provide up-to-date scientific, medical information and promotional materials to Healthcare Professionals... Our customers use these Audience Segments to deliver tailored advertising to relevant consumers. ... the users of these identified devices or browsers may receive tailored advertising in their web browsers, within mobile applications, and on connected TVs.

  6. Healthcare professionals' personal data stays in Veeva's data cloud for a full decade after it stops being professionally relevant — unless the individual actively withdraws consent. Contrast this with enterprise customer data, which Veeva must permanently delete within 120 days of contract termination per its Data Processing Addendum.

We keep your personal data for ten years after it is no longer professionally relevant for the purposes described in this notice unless you withdraw your consent earlier.

  7. Veeva can shut off a customer's mission-critical clinical/regulatory software if an invoice is 30 days late, with only 15 days' warning. It also keeps a 'Restricted Competitors' list — named third parties that need a special Veeva access agreement before they can touch the platform, letting Veeva gatekeeper rival access.

In the event payment is not made within thirty (30) days of the date payment was due and such payment is not the subject of a reasonably based written dispute, Veeva shall have the right, at its sole option, to suspend Customer's access to the Software until payment is made. Veeva will provide fifteen (15) days' written notice to Customer prior to suspension of access to the Software pursuant to this section.

How these were found

Documents actually read in full via browser on Oct 1, 2026: (a) Veeva Master Agreement, marked VERSION 25.10.23 (hosted in a PDF uploaded Oct 2024: '24.10.17-Veeva-Master-Subscription-Agreement-Online-Terms-PDF.pdf'); (b) veeva.com/terms website Terms of Service (no version/date shown on the page; search crawl ~38 days prior); (c) veeva.com/privacy main privacy page; (d) Privacy Notice for Users of Veeva Applications (Last Updated June 4, 2026); (e) Ostro Processor Privacy Policy (Last revised August 24, 2026). The 10-year HCP retention quote and the DPA 120-day deletion quote were taken from verbatim search-result snippets from official veeva.com PDFs (HCP Consent Notice PDFs uploaded Nov 2025; Data Processing Addendum Form 25.07.29, uploaded Feb 2026), not opened in full. No third-party mirrors were needed; all material is from the official veeva.com domain. Note Veeva is B2B: the Master Agreement governs enterprise customers, while privacy notices govern website visitors, healthcare professionals, and app end users. No unilateral mid-term price-increase clause was found in the Master Agreement; renewal pricing defaults to the same fees on Order Forms.
