Where Salesforce does well

  • Arbitration 0 of 20. Nothing found.
  • No forced arbitration at all — the MSA sends disputes to courts under an agreed governing law with exclusive jurisdiction (unusual among large SaaS vendors).
  • Salesforce cannot unilaterally rewrite the MSA mid-term: amendments require a signed writing (§14.3).
  • Customer data is actually deleted after contract end — 30 days to export, then Salesforce deletes or destroys all copies (§12.5), and it processes customer data as a processor, not as its own asset.
  • The 7%-per-renewal price cap plus a 60-day advance notice requirement for bigger increases is a real guardrail many competitors lack.

Every Salesforce subscription silently renews by default and you can only escape it with 30 days' written notice before the term ends. Once you're in, you're locked in: you owe the full term's fees no matter what, get no refunds, and can't shrink your seat count mid-term. If you pay by card, you've also authorized them to charge it for every renewal in advance.

The fine print

6 clauses and findings from the draft archive, dated 1 October 2026. The plain English comes first; the small print is the company's own words. None of these has been checked yet.

Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless either party gives the other notice of nonrenewal at least 30 days before the end of the relevant subscription term. Except as otherwise specified herein or in an Order Form, (i) fees are based on Services and Content subscriptions purchased and not actual usage, (ii) payment obligations are noncancelable and fees paid are nonrefundable, and (iii) quantities purchased cannot be decreased during the relevant subscription term.

    Master Subscription Agreement (§6.1, §6.2, §12.2)

  2. Your renewal bill goes up automatically — up to 7% every year with no negotiation, and Salesforce can raise it by ANY amount with just 60 days' notice. Sweetheart promo pricing snaps back to full list price at renewal, and if you cut seats you lose your old per-unit price entirely. The only vote you get is canceling within the 30-day window.

The per-unit pricing during any renewal term will increase by up to 7% above the applicable pricing in the prior term, unless We provide You notice of different pricing at least 60 days prior to the applicable renewal term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at Our applicable list price in effect at the time of the applicable renewal. Notwithstanding anything to the contrary, any renewal in which subscription volume for any Services has decreased from the prior term will result in re-pricing at renewal without regard to the prior term's per-unit pricing.

    Master Subscription Agreement (§12.2)

  3. Salesforce's headline claim is 'we do not sell your data' — but in the same breath it admits sharing your identifiers and browsing activity with third-party advertisers so they can target you with ads on other sites. Functionally ad-tech data sharing, kept technically outside the word 'sale' — with opt-out available via Global Privacy Control.

As a business covered by the CCPA, we do not sell Personal Data. We may share Personal Data (in the form of identifiers and internet activity information) with third party advertisers for purposes of targeting advertisements on non-Salesforce websites, applications and services.

Salesforce Privacy Statement (§15, Additional Disclosures for California Residents)

  4. Install any AppExchange app and you've authorized Salesforce to hand your CRM data to that third-party app maker — and Salesforce washes its hands of anything they do with it: leak it, alter it, or delete it. Your enterprise data is one marketplace install away from a vendor Salesforce disclaims responsibility for.

If You choose to use a Non-SFDC Application with a Service, You grant Us permission to allow the Non-SFDC Application and its provider to access Your Data as required for the interoperation of that Non-SFDC Application with the Service. We are not responsible for any disclosure, modification or deletion of Your Data resulting from access by such Non-SFDC Application or its provider.

    Master Subscription Agreement (§5.2)

  5. Build anything during a free trial and it's gone forever unless you buy before the trial clock runs out — and you can't even move it to a cheaper edition. The clause doubles as a conversion pressure tactic: pay up or your work is destroyed.

ANY DATA YOU ENTER INTO THE SERVICES, AND ANY CUSTOMIZATIONS MADE TO THE SERVICES BY OR FOR YOU, DURING YOUR FREE TRIAL WILL BE PERMANENTLY LOST UNLESS YOU PURCHASE A SUBSCRIPTION TO THE SAME SERVICES AS THOSE COVERED BY THE TRIAL, PURCHASE APPLICABLE UPGRADED SERVICES, OR EXPORT SUCH DATA, BEFORE THE END OF THE TRIAL PERIOD.

    Master Subscription Agreement (§2)

  6. Miss a payment by 30 days (or 10 days on a card) and Salesforce can declare your ENTIRE contract balance due immediately and switch off your CRM — your sales team, support desk, and all your customer data access — until you pay everything up front.

If any amount owing by You under this or any other agreement for Our services is 30 or more days overdue (or 10 or more days overdue in the case of amounts You have authorized Us to charge to Your credit card), We may, without limiting Our other rights and remedies, accelerate Your unpaid fee obligations under such agreements so that all such obligations become immediately due and payable, and suspend Our services to You until such amounts are paid in full.

    Master Subscription Agreement (§6.4)

How these were found

The live Master Subscription Agreement page on salesforce.com (salesforce.com/company/legal/) returned HTTP 403 to the document fetcher, so the full-text MSA relied on is the official January 9, 2016 version hosted on Salesforce's own static domain (a.sfdcstatic.com); key clauses (auto-renew §12.2, renewal pricing, jury-trial/arbitration posture) were cross-checked against snippets of the live salesforce.com MSA pages returned by web search and were consistent. The Privacy Statement is the current version, effective May 19, 2026, read in full from salesforce.com/company/legal/privacy/. Caveat on scope: Salesforce is B2B — customer CRM data is processed as a processor (outside the Privacy Statement); the ad-sharing and marketing-purpose findings apply to controller-context personal data (site visitors, prospects). Scores are editorial judgment; quotes are verbatim or near-verbatim from the documents named.
