Where Supermicro does well

  • Arbitration 0 of 20. Nothing found.
  • Renewals 0 of 20. Nothing found.
  • No forced arbitration or class-action waiver anywhere in customer terms — disputes go to real courts in Santa Clara County, California (rare among IT vendors, which often mandate arbitration). Privacy policy explicitly states 'SMCI has not sold any personal information as defined in this section in the past twelve
  • months' and includes a full CCPA rights section with a named data protection officer, phone number, and non-discrimination clause. No auto-renew or cancellation traps exist (B2B one-time hardware purchases; no subscriptions). Warranty page clearly lists 3-year labor / 1-year parts warranty periods in a public table. Deletion, correction, and access rights are offered via a single email (privacy@supermicro.com).

It's take-it-or-leave-it: Supermicro's terms override anything your company puts on its purchase order, they apply even to past orders, and your terms are pre-emptively 'deemed inapplicable.' Just receiving the goods counts as your acceptance.

The fine print

6 clauses and findings from the draft archive, dated 1 October 2026. The plain English comes first; the small print is the company's own words. None of these has been checked yet.

  1. It's take-it-or-leave-it: Supermicro's terms override anything your company puts on its purchase order, they apply even to past orders, and your terms are pre-emptively 'deemed inapplicable.' Just receiving the goods counts as your acceptance.

Buyer agrees that these Standard Terms and Conditions of Sale ... shall constitute an agreement between the parties and shall govern all past and future purchases of goods and services from Seller. These terms shall prevail over any additional or different terms or conditions provided by Buyer ... and any such terms or conditions provided by Buyer are deemed to be a material alteration of this Agreement and are hereby objected to by Seller and shall be deemed inapplicable to any sale of Seller's goods or services.

Standard Terms and Conditions of Sale

  2. You must pay Supermicro in full even if Supermicro owes you money or shipped you defective products — you waive any right to offset one debt against the other, and payment is due Net 30 with no exceptions.

Buyer shall not, and acknowledges that it shall have no right under these Seller's Terms or otherwise to withhold, offset, recoup or debit any amounts owed or to become due and owing to Seller or any of its affiliates against any other amount owed or to become due and owing to it by Seller or its affiliates.

Standard Terms and Conditions of Sale

  3. If you buy less than a promised minimum, Supermicro can raise the unit price on what you did buy — a unilateral price increase after the fact.

If prices are contingent on the purchase of a minimum quantity that is not met by the Buyer, Seller shall have the right to adjust the price accordingly.

  4. Simply asking Supermicro for a quote counts as your consent to receive marketing, and if you're a customer, they assume 'implicit consent' to send you marketing emails — no opt-in checkbox required.

By making contact with SMCI and submitting information in the Inquiry Data, you indicate your consent that we may process that information for the purposes of offering, marketing and selling relevant goods and services to you... The legal basis for this processing is your explicit consent, or your implicit consent if you are a customer.

    Privacy Policy

  5. Your data, once 'de-identified,' can be used and handed to advertisers and marketing partners for any purpose — a broad loophole that lets them monetize your information while claiming they never 'sold' it.

We may aggregate and/or de-identify your information so that such information can no longer be linked to you or your devices (Aggregate/De-Identified Information). We may use Aggregated/De-Identified Information for any purpose, including without limitation, research and marketing purposes. We may also share such data with any third parties, including advertisers, promotional partners, sponsors, event promoters, and/or others.

    Privacy Policy

  6. Supermicro can change its privacy policy without notifying you — just posting it is enough, and it's your job to re-read it every time you interact with them.

Any material changes to this Privacy Statement will be posted on our webpage. It is your responsibility to review our Privacy Statement each time you provide Personal Information to us as the Privacy Statement may have changed since the last time you used our Sites or services.

How these were found

Documents read live 2026-10-01 via browser_open on official supermicro.com domain: Privacy Policy (https://www.supermicro.com/en/about/policies/privacy — crawled ~1 hour before reading, current policy incl. CCPA and GDPR sections), Standard Terms and Conditions of Sale PDF (https://www.supermicro.com/about/policies/Standard_Terms_and_Conditions_of_Sale.pdf — document states 'Updated: December 29, 2020'), and Warranty page (http://supermicro.com/en/support/warranty — crawled 4 days before reading, current). The 'Terms and Conditions' page at supermicro.com/en/about/policies is actually Supermicro's supplier Purchase Order terms (Supermicro as Buyer), not customer terms — excluded from findings. No mirrors used. No forced-arbitration or class-action-waiver language found in any customer-facing document. Supermicro is predominantly B2B server hardware; scored modestly where little applies.
