Where Nordson Corporation does well

  • Arbitration 0 of 20. Nothing found.
  • Renewals 0 of 20. Nothing found.
  • Data sharing 4 of 20. Few problems found.
  • No forced arbitration or class-action waiver was found in any document read — disputes go to ordinary courts (albeit Nordson's home courts).
  • No auto-renewal or subscription cancellation traps exist.
  • The privacy statement states plainly: 'We do not sell, trade, or otherwise transfer information to outside parties.' The EU privacy policy caps biometric data retention at 1 year and the US statement publishes a named complaint contact (Deputy General Counsel) with a commitment to resolve privacy complaints.
  • Unilateral price adjustments in the sale conditions are limited to documented direct cost increases with 'no additional markup or margin,' and the consequential-damages waiver is mutual rather than one-sided.

When you buy Nordson equipment, you must let Nordson staff onto your premises and into your systems to install software updates, and you may be required to install updates to keep using the product.

The fine print

6 clauses and findings from the draft archive, dated 1 October 2026. The plain English comes first; the small print is the company's own words. None of these has been checked yet.

  1. When you buy Nordson equipment, you must let Nordson staff onto your premises and into your systems to install software updates, and you may be required to install updates to keep using the product. Your only way out is to stop using the machine entirely.

You hereby agree to permit such personnel to access your premises, equipment, and systems, as needed, to install such Updates... If you do not want such Updates, your remedy is to stop using the product on which the Software is installed.

End User License Agreement (§7, Software Updates and Upgrades)

  2. The software phones home: Nordson collects telemetry about how you use the software and about the equipment it runs on, through maintenance services and built-in security measures.

Nordson may, directly or indirectly through the services of others, collect and store information regarding use of the Software and about equipment on which the Software is installed or through which it otherwise is accessed and used, by means of (i) providing maintenance and support services; and (ii) security measures included in the Software as described in Section 3.

End User License Agreement (§6, Collection and Use of Information)

  3. Nordson can audit your facilities remotely or on site, and if it finds overuse you must pay back-dated license fees within 10 days at full undiscounted prices, with any excess use automatically assumed to have been continuous since day one.

Upon request of Nordson, you shall also allow Nordson to conduct a reasonable onsite or remote audit of your applicable facilities, products and records to determine whether or not your usage of such Software is in conformance with this Agreement... If the audit determines that your use of the Software exceeds or exceeded the use permitted by this Agreement then... you shall, within ten (10) days... pay to Nordson the retroactive License Fees for such excess use... (y) the rates for such licenses shall be determined without regard to any discount to which you may have been entitled had such use been properly licensed prior to its commencement.

End User License Agreement (§23, Verification and Audit Rights)

  4. If Nordson's software fails or breaches its own agreement, your only remedy is to stop using it — no refunds, no damages. A 'take it or leave it' remedy on expensive industrial equipment.

YOUR SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO ANY BREACH OF THIS AGREEMENT BY NORDSON OR ANY DISSATISFACTION WITH RESPECT TO THE SOFTWARE IS TO DISCONTINUE OPERATING, ACCESSING, AND USING THE SOFTWARE.

End User License Agreement (§13, Disclaimer of Warranties; Limitation of Liability)

  5. Late payments accrue interest automatically at up to 21% per year starting the day after the due date, with no warning required, and Nordson keeps a security interest in the equipment you already bought until everything is paid.

Delinquent accounts shall bear interest beginning on the first day after the payment due date, without any requirement for Nordson to provide notice, on the unpaid balance at the lesser of (a) of twenty-one percent (21%) per annum, and (b) the maximum legal rate. Nordson retains a security interest in the Products to secure the payment of all amounts owed by Buyer to Nordson.

General Conditions of Sale – Global (§2, Prices and Payment)

  6. Any dispute must be fought in the courts of Nordson's home jurisdiction — a home-court advantage clause. Note: there is no forced arbitration or class-action waiver anywhere; disputes go to court, just Nordson's court.

Any legal suit, action or proceeding arising out of or relating to the Contract shall be exclusively instituted in the courts located in the jurisdiction of Nordson's legal registration, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding.

General Conditions of Sale – Global (§13, Governing Law)

How these were found

Documents read directly from official sources (no third-party mirrors used): Nordson's General Privacy Statement at nordson.com (page itself dated 28 October 2022), EU Privacy Policy (Version dated 31 March 2021), End User License Agreement and General Conditions of Sale - Global (effective April 1, 2020) via Nordson's own Sitecore content CDN (nc-p-001.sitecorecontenthub.cloud). The EULA and Conditions of Sale versions are several years old and may have been superseded offline. No public-facing nordson.com website 'Terms of Use' was located via search; scoring is based on the privacy, licensing, and commercial sale documents that are publicly posted. Nordson is a B2B industrial equipment maker, so these are business-contract terms rather than consumer contracts; the score reflects what actually exists and is deliberately modest. The task rubric's B2B limitation applies.
