Where Fastenal does well

  • Renewals 3 of 20. Few problems found.
  • Email address non-sale pledge: 'FASTENAL WILL NOT GIVE, SELL OR OTHERWISE TRANSFER E-MAIL ADDRESSES MAINTAINED BY THIS SITE TO ANY OTHER THIRD PARTY' — an explicit commitment most distributors do not make.
  • Third-party data processors are 'contractually prohibited from using information obtained in the course of providing these services to Fastenal in any manner other than solely for Fastenal's business purposes.'
  • Privacy rights are real and operational: GDPR/CCPA/LGPD rights listed with a subject-access-request and data-deletion email (data_privacy@fastenal.com), right of withdrawal of consent, and a statement that they do no solely-automated decision-making; optional cookies require consent in the EEA statement.
  • The 'Terms of Purchase' are refreshingly B2B-straightforward: Net 30 for credit customers, one-year product warranty, 30-day return window for ordinary products, and no auto-renewal traps or consumer subscription tricks anywhere in the public terms.

Any business that buys from Fastenal must arbitrate disputes privately under AAA rules in Minnesota instead of going to court — no opt-out, no jury, no stated exception other than Fastenal suing over IP.

The fine print

6 clauses and findings from the draft archive, dated 1 October 2026. The plain English comes first; the small print is the company's own words. None of these has been checked yet.

  1. Any business that buys from Fastenal must arbitrate disputes privately under AAA rules in Minnesota instead of going to court — no opt-out, no jury, no stated exception other than Fastenal suing over IP. A small buyer effectively waives courtroom rights just by ordering.

All disputes, controversies or differences between the parties that are not settled by negotiation shall be decided in accordance with the Commercial Rules of the American Arbitration Association and judgment will be entered on the award... The site of arbitration will be a mutually agreeable location in the State of Minnesota.

Terms of Purchase — (Fastenal's staging host; live www.fastenal.com legal page blocked automated fetching)

  2. Fastenal shortens the legal deadline to sue to just one year after the problem arises — far shorter than the multi-year windows many states' commercial codes allow — so a slow-discovered defect or billing issue can become untouchable before you notice it.

Except for non-payment of the purchase price for a Product by Purchaser, any legal action regarding a dispute must be filed and commenced within one year after it arises.

Terms of Purchase (Governing Law and Waiver)

  3. Refunds or credits Fastenal issues on your account expire after one year; unused money quietly converts to 'processed according to state law' (i.e., forfeiture/escheat pipelines) instead of staying yours.

Any credit applied to the account of Purchaser must be used within one (1) year and any unused or unapplied credits remaining will be processed according to state law.

    Terms of Purchase (Orders Terms)

  4. Fastenal can rewrite every legal term unilaterally, and the new version takes effect the moment it is posted — no email, no notice, no consent. The 'check the site periodically' burden is entirely on you.

Fastenal reserves the right, at its sole discretion, to periodically revise these Terms of Access, Terms of Purchase, Terms of Tool and Repair Service, Supplier Terms and Code of Conduct and Terms of Registration... Updates shall be effective the date such update is posted on the Site.

Terms of Access — (Fastenal's UK regional site, mirroring the US legal text)

  5. Anything you submit to the site — an idea, a design suggestion, a graphic — becomes Fastenal's property forever, with no payment and no credit, even if they commercialize it.

All remarks, suggestions, ideas, graphics or other information communicated to Fastenal through this Site will forever be the property of Fastenal... Fastenal shall have exclusive ownership rights of present and future existing rights in the information provided, without compensation to the person sending the information.

    Terms of Access (Submitted Information)

  6. Your transactional and identifying data can be shared broadly with suppliers, banks, service providers, and any future buyer of Fastenal's business, and your browsing is fed into Google's ad-remarketing network with no clear opt-out path in the terms.

Fastenal may choose to share information with some specific third parties, such as suppliers, financial institutions, and third party service providers, and with any successor Fastenal interest... Fastenal uses the Google AdWords remarketing service to advertise on third party websites (including Google) to previous visitors to our Site.

How these were found

Document dates/versions: the live www.fastenal.com legal-information page rejected automated fetching (HTTP 403), so findings were read from two Fastenal-controlled mirrors carrying the same legal text: fastenal.co.uk/legal/ (Fastenal's UK regional site, same Terms of Access / Privacy text) and stg.fastenal.com/fast/legal-information (Fastenal's own staging host, which hosts the full Terms of Purchase). The EEA Privacy Statement viewed on the staging page is dated 'Last Updated: April 2025'. The standalone English-language Privacy Statement PDF was only surfaced in its French version (Prvcy_Stmt_French.pdf); the English PDF link was not found, so privacy clauses rely on the mirrored legal-page text. No class-action waiver was found in the documents read; Fastenal is a B2B industrial distributor with no consumer subscriptions or auto-renew products, so autorenew scoring reflects absence of findings, not diligence gaps. All quotes below are verbatim from the documents read via browser_open or the official-domain search snippets shown in research; nothing was invented.
