Where Agilent Technologies does well
- Renewals 0 of 20. Nothing found.
- Agilent states explicitly: "Agilent will not sell, rent or lease Customer's personal data to others." (Terms of Sale US v8, E16L; repeated in Bench Lab Software terms). The US-facing Terms of Sale and Enterprise Terms of Use contain no forced-arbitration or class-action waiver; US disputes fall under the law of the Agilent entity's home state/country (California courts for GSA sales), keeping court access open. A formal Data Processing Agreement (v2, September
- with EU Standard Contractual Clauses governs processor activity, and service suspension requires Agilent to use "commercially reasonable efforts" to give advance notice where practical.
If you buy custom or vacuum products, you hand Agilent a forever, worldwide, royalty-free license to sell and copy your own pre-existing intellectual property — and Agilent owns all IP in whatever it delivers to you.
The fine print
6 clauses and findings from the draft archive, dated 1 October 2026. The plain English comes first; the small print is the company's own words. None of these has been checked yet.

If you buy custom or vacuum products, you hand Agilent a forever, worldwide, royalty-free license to sell and copy your own pre-existing intellectual property — and Agilent owns all IP in whatever it delivers to you.
"Customer grants to Agilent a non-exclusive, worldwide, perpetual, royalty-free, transferable license to make, have made, sell, offer for sale, copy, make derivative works of, distribute, display, disclose, perform, import and sublicense such pre-existing intellectual property." For Custom and Vacuum Products, Agilent also takes: "Agilent will own all copyrights, patents, trade secrets, trademarks and other intellectual property rights, title and interest in or pertaining to all Products and Services delivered to Customer under these Terms."

China-based customers give up court access entirely: disputes go to a Beijing arbitration commission whose decision is final with no appeal. India's terms likewise force New Delhi arbitration (DIAC rules), and some EMEA terms force Geneva arbitration (CCIG rules). US customers, by contrast, keep court access.
"Any dispute not settled through negotiation or conciliation, shall be submitted to China International Economic and Trade Arbitration Commission in Beijing for arbitration. The arbitration shall be conducted under The Commission's arbitration rules in effect at the time being of applying for arbitration. The award of the Commission is final and binding upon both parties."

Agilent can hand your contract to another company (including after a sale or spinoff) with just a notice, while you get no say — and any conflicting terms you put on your own purchase order are automatically void.
"Agilent may assign or transfer any of its rights or obligations under these Terms upon notice in connection with a merger, reorganization, transfer, sale of assets or product lines, demerger or spinoff transaction or change of control or ownership of Agilent..." Combined with: "These Terms and any supplemental terms applicable to the order constitute the entire agreement between Agilent and Customer... Customer's additional or different terms and conditions will not apply."

You must pay Agilent's legal bills if a third party sues over your data or your use of the service, while Agilent can monitor, cut off, and delete your service access for a suspected violation with zero liability to you.
"Customer will defend, indemnify and hold Agilent and Agilent's officers, directors, employees, consultants, agents, and suppliers harmless against any loss, damage or costs (including reasonable attorneys' fees) incurred in connection with any suit, action or claims (a 'Claim') made or brought against Agilent by a third party arising out of or related to Customer's Data, or Customer's use of the Services in violation of this Agreement." Separately, Agilent "may monitor the Services for a violation of these Terms of Use... and may suspend access to the Services for the duration of any such violation and remove applicable Customer Data," and "Customer agrees that Agilent will not be liable to Customer or any Authorized User if Agilent exercises its suspension rights as permitted by this Section."

How these were found
Agilent's main website (including www.agilent.com/home/privacypolicy) returned HTTP 403 and blocked automated fetching on 2026-10-01, so the consumer Privacy Policy itself could not be read — findings instead rely on the actual legal PDFs served from agilent.com / agilent.com.cn domains, read via search-result document text (official-domain content, no third-party mirrors except where noted). The Spinsights T&Cs were read via a verbatim PDF mirror at nmr.jab.bz (originally hosted on spinsights.chem.agilent.com). Terms-of-Sale versions reviewed: US v8 (Rev 1-Jan-2024), China v10.1 (Rev 14-Feb-2026), India English (Rev 1-Apr-2024, v10), Germany/Austria/Italy/Spain IDO LAR variants (Rev 1-Apr-2024, v10); Enterprise Terms of Use US English (Rev 01-July-2022, v2); DPA v2 (Sep 2025). Agilent is a B2B lab-instrument maker: there is no consumer subscription surface, so auto-renewal could not be assessed and scores skew toward clauses in enterprise/B2B sales documents rather than typical consumer-app sneaky patterns.
